RMC & RTM Director Identity Verification

Residents’ management and RTM company directors must verify with Companies House. Deadlines, inactive directors and how to verify a volunteer board.

If you are a director of a residents' management company (RMC), a Right to Manage (RTM) company or a leaseholder-owned freehold company, Companies House identity verification applies to you. Most RMC directors are volunteers: leaseholders who agreed to help run the building. The law makes no exception for that. Every director must verify, and the company's confirmation statement cannot be filed until they all have.

RMC Director Identity Verification: Deadlines

  • Existing directors must provide their Personal Code with the company's next confirmation statement, within the transition period ending on 17 November 2026.
  • New directors, such as a new leaseholder joining the board, must verify before they are appointed. See our new director guide.

  1. Check the register. Look up your company on Companies House and list every current director. Compare it with who is actually active.
  2. Tidy up first. Resign directors who have left, with their agreement, so you are not chasing people who no longer take part.

Do RMC directors need to verify their identity with Companies House?

Yes. A residents’ management company (RMC) is a company registered at Companies House, so every director must verify, even if they are an unpaid leaseholder volunteer. The same applies to Right to Manage (RTM) companies and leaseholder-owned freehold companies.

What happens if one RMC director does not verify?

The company cannot file its confirmation statement until every director has verified. A company that keeps failing to file can eventually be struck off the register, and a struck-off RTM company can no longer manage the building.

Can our managing agent verify the directors?

No. Each director must verify their own identity with their own documents. A managing agent can file for the company if it is an ACSP or has verified, and can help coordinate, but it cannot verify on a director’s behalf.

Should we remove inactive directors instead?

Keeping the register accurate is sensible. If a director has moved away or no longer takes part, resigning them before the confirmation statement means one fewer person to verify. You still need enough directors to meet your articles.

Can the service charge cover verification costs?

That depends on your leases and the company’s articles. Many RMCs treat it as a company administration cost, and others ask directors to pay personally. Check with your managing agent or company secretary.
