UK Company Formation from Dubai and the UAE

Yes, you can form a UK limited company from Dubai or anywhere in the UAE, whatever your nationality. The company needs a UK registered office and a verified identity for each director, and you verify with your own passport. CorpAssist arranges the formation, the verification and London addresses in one order: £249.99 in total, including the £100 Companies House fee.

Written for UAE Residents of Any Nationality

Most people forming a UK company from the UAE are not Emirati: they are Indian, Pakistani, British, Egyptian, Filipino, Lebanese or European residents with a UAE residence visa. That matters for one step in particular. Your Emirates ID shows where you live, but Companies House identity verification checks who you are, so you verify with the passport of your nationality.

Everything else works the same for every nationality. You can be the only director and the only shareholder, your home address in the UAE stays on the private register, and you never need to visit the UK.

UK Ltd or UAE Free Zone Company?

UAE founders often ask whether they need a UK company at all. The two structures do different jobs:

Registered withCompanies House, public registerThe free zone authority

Plenty of founders run both: a UAE company for the local business and a UK company for UK and European sales. Which is right for you is a tax and commercial question, so speak to an adviser before you trade.

Tax: The Point Most Guides Skip

The UAE has no personal income tax, and its corporate tax applies to UAE businesses. Neither changes how a UK company is taxed. A UK limited company is generally UK tax resident because it is incorporated in the UK, and it registers for UK Corporation Tax within 3 months of starting to trade.

There is a second rule to know about: a company can also be treated as resident where it is actually managed and controlled. If you make all the decisions from Dubai, the UAE position needs looking at too. Tax treaties decide which country wins in some cases. This is exactly where a tax adviser earns their fee, and CorpAssist does not give tax advice.

How It Works From the UAE

  1. Pick a name. Check it with the company name checker.
  2. Place your order. Company activity, directors, shareholders and shares. About 10 minutes, and your answers save as you go.
  3. Verify with your passport. Each director who is not yet verified gets a secure upload link. Companies House emails each person their personal code.
  4. We file. A person checks every detail matches the verified identities, then the company is filed. Companies House usually registers it within 24 hours.
  5. Documents by email. Certificate of incorporation, articles and share certificates. HMRC and Companies House letters to your London address are scanned and emailed to you.

What You Need

  • The passport of each director’s nationality, valid and in date
  • Each director’s home address in the UAE (or wherever they live): kept private
  • An email address and phone number. A UAE number is fine
  • What the company will do, so we can choose SIC codes (try the SIC code finder)

Banking From the UAE

UK high-street banks usually expect directors to live in the UK. Several business account and e-money providers accept UK companies whose directors live abroad, and each runs its own checks. Nobody can promise an account, but once your company is registered we point you to providers that accept UAE-resident directors.

Visas

A UK company does not need a visa and does not give one. You can run it from the UAE. If you travel to the UK for meetings, that is a business visit under the normal visitor rules.

UAE residents verify with the passport of their nationality: read Companies House verification for UAE residents. All options for founders abroad are on UK company formation for non-residents.

Already have a UK company? CorpAssist also handles Companies House identity verification for existing directors and PSCs, and a London registered office address for companies that need one. How verification works at incorporation is explained in identity verification when forming a company. Once the company is registered, see which providers open a UK business bank account for non-residents.

Questions From UAE Residents

Can I set up a UK company from Dubai?

Yes. Anyone living in the UAE, whatever their nationality, can form a UK limited company online and be its sole director and shareholder. You need a UK registered office, a verified identity and the Companies House fee. No visit to the UK and no UK-resident director are needed.

Can non-UK residents register a UK Ltd company?

Yes. UK company law has no residence or nationality requirement for directors or shareholders. Directors must be at least 16, not disqualified, and verified with Companies House before the company is formed.

How much does it cost to register a UK company from the UAE?

Companies House charges £100 to register online. The CorpAssist International package is £249.99 in total, including that fee, identity verification for one director and London registered office, service and business addresses for 12 months.

Can I use my Emirates ID to verify my identity?

Use your passport. Companies House identity verification is based on your own identity document, and for UAE residents that is normally the passport of your nationality. Through CorpAssist, our ACSP partner accepts passports from 190+ countries, including passports without a chip.

Do I need to pay UK tax if I live and work in Dubai?

Your personal position depends on your own residence and income, so take advice. The company is different: a UK company is generally UK tax resident and pays UK Corporation Tax on its profits, wherever its owner lives. If it is managed from the UAE it may also be treated as resident there, which a tax adviser can assess.

Should I choose a UK Ltd or a UAE free zone company?

They do different jobs. A UAE free zone company suits trading and living in the UAE. A UK Ltd suits selling to UK and European customers, using UK platforms and payment providers, and presenting a UK company to clients. Some founders have both; get tax advice before deciding.

Does a UK company give me a UK visa?

No. Owning or directing a UK company does not need a visa and does not give a right to live or work in the UK. Business visitors can attend meetings and sign contracts.
